Yep.  Good, let’s get the details together. For what it’s worth, there is probably
no organization more capable of influencing banks or creating leverage in the
industry than the folks at FTV. They also brought in their own CEO, Frank
Bisignano, to run First Data after KKR (another large PE firm) took them private
over a decade ago. Frank is likely the most connected, influential person in
payments right now and after the expected FDC IPO, he is likely to pursue some
acquisitions… I doubt CardConnect is large enough. I’m sure they are thinking
we certainly are not.

What I do know is that FTV is very active. They make a lot of calls, apply
pressure in ways only a multi-billion dollar PE firm can and they also have the
First Data connection.

This probably changes nothing other than we really push forward hard on that
Invincible strategy.

As follow up to JD’s earlier email today, per your request, from 2015-2017, we
did include FA as one of the many companies (hundreds) that could take
advantage of our various payment gateway services. We included FA on broad
communications to the industry, as depicted in many places throughout our past
marketing materials, as we were in hyper-growth mode during this time to get
our software partners, and in turn their merchants, boarded on the platform-as-a-
service. It was similar to a “land grab” for many of our competitors, as this was
the beginning stages of the current “integrated payment” revolution that is now
main stream.

Our communications at the industry events, in the trade publications, during
press interviews, and in numerous, broad marketing campaigns, FA was one of
the many potential organizations mentioned which could benefit from our suite
of payment services.

In terms of targeting FA specifically, we were not successful in attracting the
volume of merchants necessary for the level of resources required, which
resulted in the execution of “Project Invincible”.

Absolutely.

We had an internal initiative called “Project Invincible” to migrate
merchants at First American to our platform-as-a-service as expeditiously as
possible.

Shift4 built the program from a technology, operations and economic
perspective at significant cost. We presented the program to the executive team
at First American, which included FA investments (from your prior email dated
April 27, 2017).

We deployed a number of resources to take advantage of the “Project
Invincible” opportunity, which was a complete failure (as in zero merchants
boarded out of it).
