Commissions,
     The deal was that you (LMS) would be paid your normal commissions on any new revenue generated from those merchants.
     That would be a good deal for LMS and a bad deal for CardConnect.
     We have never considered a deal like that.
     The reason CardConnect acquired the portfolio from First Data was for the monthly margin it generated. We paid cash for that reoccurring monthly margin.
     CardConnect paid cash for 24 months of multiple on the margin or roughly $14 million.
     In this deal LMS would continue to get all of it's commission and CardConnect would end up with about 40% of what it has paid for.
     This commission structure has never been considered.
Residuals,
     We don't have any history of providing residuals to agents.
     CardConnect is working on an agent program and it will likely be the focus of the organization next year.
     However, the program is not ready or rolled out.
     How would a deal like this work?
     How have your agents been paid in the past on deals like this?
     Are the agents that you work with asking for this?
     What are our competitors in the agent space doing?

     While the timing isnt ideal in terms of going live, the residual component to this should really increase our incentive. It might be a good time to discuss.
     As per our original agreement for referrals, we get our agent commissions. The residual payments to the agents, which is a % of the profit which will vary from merchant to merchant, is the same for both referred merchants and those that come from the existing portfolio.
     Can we get our agent commissions on the merchants In the existing acquired Card Connect portfollo as well as the residuals to us and our agents? This will really incentivize my sales team on this.

I believe we have the same agreement with First Data/Card Connect on their existing merchants that we do with the merchants that we bring to them.

In that agreement the compensation plan includes the following.

We receive 50% of the profit that Card Connect makes on merchants for the merchants that we
bring to them. If a merchant that we bring to them gets terminated for any reason we continue to make the same revenue split on any fees that Card Connect is able to collect from the terminated merchant, collections, termination fees, etc.

Can you please verify that this same agreement applies to the existing merchants that are already at Card Connect?
